Canadian Premium Sand Inc. is committed to the highest standards and practices of corporate governance. The Company regularly reviews and adheres to guidelines for effective corporate governance as published by the Toronto Venture Exchange. Canadian Premium Sand Inc. is chaired by an Executive Chairman and is made up of five directors. Specific charters have been developed for the Board and for its various committees that set out their roles and responsibilities. The Charters are reviewed, and if appropriate, revised on an annual basis.

With regard to the Company’s communication with its various stakeholders, the Board has adopted the Disclosure, Confidentiality, and Insider Trading Policy, which includes comprehensive procedures on timely disclosure of material information, insider trading procedures on selective disclosure and electronic communications, and specific procedures on mineral resource and reserve disclosure.

Lowell Jackson P. Eng

Chairman

Mr. Lowell Jackson has been Board member since 2013. He brings more than 40 years of technical, operational and executive experience in the oil and natural gas industry.

Over the past 25 years, Mr. Jackson has been involved in four separate start-up oil and gas ventures, being Grad & Walker Energy Corp., Real Resources Ltd., and West Fire Energy Ltd., all of which became TSX indexed companies. He has been involved in more than 2,000 sand fracturing operations over the course of his career.

Mr. Jackson graduated from the University of Saskatchewan with a Bachelors degree in Mechanical Engineering (with distinction). He has served several terms as a Governor of the Canadian Association of Petroleum Producers, including a tenure as Chair of the Board of Governors (2011-2012).

Mr. Jackson is a registered Professional Engineer in Alberta and Saskatchewan.

Richard Williams B.A., LLB

Director, Corporate Secretary

He has been a corporate lawyer, investor relations and junior mining senior executive for the past 30 years.

He is currently president of Blackwell Investor Relations; President and Director of Waseco Resources Inc. and is a co-founder and director of Canadian Premium Sand Inc. and is a director of Terreno Resources Inc., and Sparton Resources Inc.

He has participated internationally in exploration, development, and production of both precious metals and base metals.

Todd Garman B.Comm., MBA

Director

Mr. Todd Garman is an oilfield services and financial executive with 25 years of experience. Currently, Mr. Garman is a President at Iron Horse Energy Services, a leading independent Canadian pressure pumping company, specifically focused on sand fracture stimulation of wells in Western Canada.

Mr. Garman is primarily responsible for strategic growth. Prior thereto, Mr. Garman spent several years as a partner and oilfield services analyst primarily at Peters & Co. Limited, an energy-focused boutique investment bank in Calgary, Alberta. Prior to that, he spent several years at Trican Well Service, a public pressure pumping company.

Mr. Garman holds a Bachelor of Commerce degree from The University of Calgary, and an MBA from Queen’s University.

Rod Sousa B.Comm., CFA

Director

Mr. Rod Sousa is an oil & gas and financial executive with prior investment banking experience, primarily in the field of mergers, acquisitions & divestitures (A&D). Currently, Mr. Sousa is Executive Vice-President of Corporate Development and Planning at Paramount Resources Ltd., a leading Canadian Oil & Gas company active in Western Canada. Prior thereto, Mr. Sousa served in a similar role at Athabasca Oil Corporation.

Mr. Sousa was previously a Managing Director at TD Securities Inc. and Head of TD Energy Advisors and prior thereto, in progressively senior roles at Scotia Waterous. Mr. Sousa has led the negotiation and execution of many oil and gas divestitures, including the sale of both public and private companies, as well as midstream facilities. He has successfully advised energy firms on the acquisition of oil and gas companies and assets, covering a variety of transaction structures including joint ventures, swaps, cross-border and oil sands integration.

Mr. Sousa holds a Bachelor of Commerce degree (Finance, with distinction) from the University of Calgary, and is a Certified Financial Analyst charterholder.

John Assman 

Director

John Assman is the third-generation owner, President, and CEO of Landtran Systems Inc. John began his career by working in various aspects of the family’s trucking and distribution company. He has held various positions including linehaul driver, salesman, terminal manager, Chief Operating Officer, and for the last 23 years as President. John’s main responsibilities in the group are the strategic direction of the organization, labour relations, and high-level marketing.

John has a Bachelor of Arts degree in Economics from Simon Fraser University. He is a member of the Council of Supply Chain Management, past board member of AEDA (Alberta Economic Development Agency) and a past executive director of the Alberta Motor Transport Association.

Glenn Leroux P. Eng

President & CEO, Director

Mr. Glenn Leroux is a seasoned executive with over 40 years of experience in the oilfield services industry. His career includes international assignments with a major oilfield service company and responsibility for startup and management of international operations for a Calgary based oilfield service company.

He most recently served as President & CEO of Nilex Inc., a leading distributor of geo-synthetics and heavy civil construction products. He was previously President & CEO of BOS Solutions Inc. leading its revenue growth from $22 million Canadian focused service provider to a peak of over $200 million through an aggressive USA growth plan.

He holds a diploma in Petroleum Technology from the Southern Alberta Institute of Technology and a B.Sc. Petroleum Engineering from Montana Tech and is a member of APEGA.

Anshul Vishal P. Eng

Vice-President, Business Development

Mr. Anshul Vishal has more than 13 years of varied experience in the mining and oil & gas industries in business development, project management, planning and construction as well as new venture development and financial modeling for small-scale startups in Western Canada.

His previous experience includes construction planning for a gas export facility in Western Canada as well as field engineering management for gas processing plants in the Montney. Prior to joining CPS, his most recent experience was in the early-stage development of a silica resource in Western Canada.

He is currently completing an MBA program through Warwick Business School in the UK. He holds a B.Sc. in Mechanical Engineering (Honors First Class) from Queen’s University and is a member of APEGA.
